Nilfisk enters a new phase as part of Freudenberg after completion of takeover offer
Following the completion of the takeover offer, Nilfisk is now part of Freudenberg Home and Cleaning Solutions. This provides a strong foundation for the company’s continued development, combining Nilfisk’s market position with Freudenberg’s scale and long-term ownership.
Today, Nilfisk becomes part of Freudenberg Home and Cleaning Solutions as all conditions from the takeover offer have been met. With this new ownership structure in place, Nilfisk is well positioned to continue developing its business and strengthening its position in the global market for professional cleaning solutions.
“This marks an important milestone for Nilfisk. Through a structured process, we have found a strong new long-term owner in Freudenberg - a larger industrial group that brings the scale, stability and long-term perspective to support our continued development.”, says Jon Sintorn, CEO of Nilfisk.
Together, Nilfisk and Freudenberg cover the core segments of the professional cleaning market, combining advanced cleaning machines with strong capabilities in manual cleaning solutions.
“With the acquisition of Nilfisk, we are strengthening our position across both innovative manual systems and professional cleaning machines, creating a uniquely positioned provider to support our customers with more comprehensive solutions. The intention is to build on the respective strengths of each business”, said Karin Overbeck, CEO of Freudenberg Home and Cleaning Solutions.
Positioned for the future in a changing market
For more than 120 years, Nilfisk has built a leading global position in professional cleaning solutions, rooted in Danish industrial heritage and defined by quality, innovation and strong customer relationships. In recent years, Nilfisk has successfully navigated significant change while continuing to deliver for customers, further strengthening the business and reinforcing the trust placed in Nilfisk by customers, partners and employees worldwide.
Freudenberg brings a similarly strong heritage and industrial mindset. As a global, family-owned group with a 175-year history, Freudenberg contributes with scale, financial strength and deep expertise across industrial markets.
As part of Freudenberg Home and Cleaning Solutions, Nilfisk has a solid and credible starting point for growth, supported by increased scale, strong industrial capabilities and a long-term ownership perspective.
Brand continues under private ownership
Today, the offer settles where the cash offer is paid to all Nilfisk shareholders – amounting to approx. 94% of the share capital – that have accepted the offer. Freudenberg Home and Cleaning Solutions have throughout the process stated that they intend to make a compulsory acquisition of the remaining shares and delist Nilfisk.
Thereby, Nilfisk is set to thrive and develop as a standalone brand under private ownership as part of Freudenberg Home and Cleaning Solutions.
“Our priority now is clear: to translate this stronger platform into consistent results and long-term value creation. We move forward with a committed long-term owner, a clear industrial logic and strong momentum, and are well positioned to continue to create value for customers, employees and partners in the years ahead”, says Jon Sintorn, CEO of Nilfisk.
